How to acquire mineral properties in China?

Since China opened the mineral exploration and mining business to foreign companies in early 1990s, some international companies have successfully acquired the high grade mineral properties in China, such as Canada-based Southwestern Resources Corp.'s Boca gold property and Australia-based Sino Gold's Jianchaling gold property; at same time, many companies are unsuccessful mainly due to fail to complete the mineral property acquisition procedure.  To avoid the mistakes experienced by the unsuccessful companies, the following correct road map is provided to you as the guideline of your mineral property acquisition in China:

  1. Find Property 

  2. Sign Letter of Intent with the Property Owner

  3. Apply for Approval of Provincial Development and Reform Committee

  4. Ask the Authorized Evaluation Firm to Evaluate the Value of the Property if It Involves the State Investment

  5. Sign Joint Venture Contract with the Property Owner

  6. Apply for Approval of JV Contract and Articles of Association by Provincial Bureau of Commerce (¡°COFTEC¡±)

  7. Apply for Business License from Provincial Administration of Industry and Commerce (¡°SAIC¡±) 

The procedure looks simple, but each step involves a lot of hard works. Except the complicate paper works in each step, the lobby to the provincial government is the most important task.  Although some companies acquired a good property, but they finally gave up just because of some minor wrong approaches.  You should be very careful for each step.  For example, some companies rushed to sign the joint venture contract before asking the Authorized Evaluation Firm to do a pre-evaluation for the property.  As a result, the evaluated value of the property is much higher than the signed value in the contract.  This small mistake may result in total failure for a company's exploration venture in China, especially for the foreign junior mining companies.
